These terms constitute a binding agreement between you and A. I. Tech Inc., a corporation registered in Ontario, Canada, located in Thorndale, Ontario, operating as RunDesk (“we,” “us,” “our”). By subscribing to RunDesk, you agree to these terms.
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
The Service
RunDesk provides a dedicated AI assistant (“AI employee”) that is configured to your business needs and communicates through messaging platforms such as Telegram, WhatsApp, Slack, or Discord. The service includes setup, configuration, hosting, monitoring, security updates, and ongoing technical support.
Your AI employee uses third-party large language models (from providers such as Anthropic, OpenAI, and Google) to process your requests. The performance, accuracy, and capabilities of your assistant depend in part on these underlying models, which are developed and maintained by their respective providers.
What You Get
Each subscription plan includes a monthly allocation of AI Tasks, which represent the processing work your assistant performs on your behalf. Your plan specifies how many AI Tasks are included. If you exceed your monthly allocation, your assistant continues to operate in a reduced capacity until your allocation resets or you purchase additional tasks.
Details of what is included in each plan are described on our pricing page at rundesk.co and may be updated from time to time with 30 days' notice to active clients.
Billing and Payment
Subscriptions are billed monthly through Stripe. Payment is due at the start of each billing period. If payment fails, we will attempt to collect for up to 14 days before suspending your service. Suspended services may be reactivated upon payment of outstanding amounts.
All prices are in US dollars unless otherwise stated. Prices may change with 30 days' written notice to your email address on file. Price changes do not apply to the current billing period.
Money-Back Guarantee
We offer an unconditional 14-day money-back guarantee for new clients. If you are not satisfied with the service for any reason within your first 14 days, contact us at compliance@rundesk.co for a full refund. No questions asked.
Cancellation
You may cancel your subscription at any time by contacting us at compliance@rundesk.co. Upon cancellation:
- Your service continues through the end of your current billing period.
- After that, your AI employee is shut down.
- All data is permanently deleted from our servers within 30 days, unless you request a copy of your conversation history before cancellation.
- Encrypted backups are deleted within 30 days.
- Payment and billing records are retained for 7 years as required by Canadian tax law.
Your Responsibilities
You are responsible for:
- The accuracy of information you provide during signup and onboarding
- Reviewing all content your AI employee drafts before it is sent to others
- Maintaining the security of your messaging accounts (Telegram, WhatsApp, etc.)
- Complying with applicable laws regarding any content you ask your assistant to produce
- Not using the service for illegal, harmful, or abusive purposes
- Any actions taken based on your AI employee's output
How the AI Employee Operates
Your AI employee is designed with safety rules that require it to obtain your explicit approval before taking certain actions, including:
- Sending emails or messages to third parties
- Deleting files, emails, or calendar events
- Modifying calendar events or account settings
- Creating content intended for public distribution
These safety rules are part of the assistant's core configuration and are standardized across all RunDesk clients.
However, AI systems can make mistakes. Your assistant may occasionally produce inaccurate information, misinterpret instructions, or fail to complete a task correctly. You should always review your assistant's work before relying on it for important decisions or communications.
Your AI employee is not a substitute for professional advice. It does not provide legal, medical, financial, or tax advice. For matters requiring professional expertise, consult a qualified professional.
Google Workspace Access
If you authorize your AI employee to access your Google Workspace account during onboarding, you grant it access to specific Google services as described in our Privacy Policy at rundesk.co/privacy. You may revoke this access at any time through your Google account settings at myaccount.google.com/permissions.
Your AI employee will never:
- Send emails without showing you the draft and receiving your approval
- Delete emails, files, or calendar events without listing exactly what will be removed and obtaining your confirmation
- Access Google services beyond those you explicitly authorize during onboarding
- Store your Google password
Data and Privacy
Your data is handled as described in our Privacy Policy at rundesk.co/privacy. By using the service, you acknowledge and consent to:
- Your conversations and connected account data being processed by third-party AI model providers (Anthropic, OpenAI, Google)
- Your data being transferred to and processed in the United States by these providers
- Our operations team monitoring technical health metrics of your AI employee (but not reading the content of your conversations)
We do not sell your data. Your AI employee runs on isolated infrastructure not shared with other clients.
Intellectual Property
Content you provide to your AI employee remains your property. Content generated by your AI employee on your behalf is provided to you for your use without restriction from RunDesk. However, AI-generated content may not be eligible for copyright protection in all jurisdictions — consult legal counsel if this is relevant to your use case.
The RunDesk name, brand, website, and operational tools remain the property of A. I. Tech Inc.
Limitation of Liability
To the maximum extent permitted by applicable law, including the Ontario Consumer Protection Act, 2002:
- RunDesk provides the service on an “as is” and “as available” basis
- We do not guarantee that the service will be uninterrupted, error-free, or meet your specific requirements
- We are not liable for actions taken based on your AI employee's output, including inaccurate information, missed communications, or scheduling errors
- We are not liable for data loss caused by third-party service outages (Google, Telegram, AI model providers, hosting providers)
- Our total liability for any claim arising from or related to the service is limited to the fees you paid to RunDesk in the three months preceding the event giving rise to the claim, on a per-incident basis
This limitation does not apply to:
- Liability for death or personal injury caused by our negligence
- Liability for fraud or fraudulent misrepresentation
- Your breach of the Acceptable Use terms or your indemnification obligations under these terms
- Any liability that cannot be excluded or limited under the laws of Ontario or the federal laws of Canada
Indemnification
You agree to indemnify, defend, and hold harmless A. I. Tech Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the RunDesk service
- Content you create, send, or distribute through your AI employee
- Your violation of these terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights, including intellectual property or privacy rights
This indemnification obligation survives termination of your subscription.
Acceptable Use
You may not use RunDesk to:
- Generate spam, phishing messages, or fraudulent content
- Harass, threaten, defame, or impersonate others
- Process data in violation of applicable privacy laws
- Attempt to access other clients' data or infrastructure
- Reverse-engineer, resell, or redistribute the service
- Generate content that is illegal in your jurisdiction
- Attempt to manipulate, override, or circumvent your AI employee's safety rules
- Use the AI employee to generate content that impersonates specific real individuals
- Use the AI employee to produce content designed to deceive or mislead
We reserve the right to suspend or terminate your account if we determine you are violating these terms. If we terminate your account for cause, no refund is provided for the current billing period. We will make reasonable efforts to notify you before suspension or termination except where immediate action is necessary to protect the security of our systems or other clients.
Force Majeure
Neither party is liable for delays or failures in performance caused by circumstances beyond their reasonable control, including but not limited to: natural disasters, acts of government, pandemic, internet or telecommunications outages, power failures, or failures of third-party service providers (including AI model providers, hosting providers, and messaging platforms). The affected party will make reasonable efforts to mitigate the impact and resume performance as soon as practicable.
Changes to These Terms
We may update these terms from time to time. Material changes will be communicated to active clients via email at least 30 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated terms. If you do not agree with the updated terms, you may cancel your subscription before they take effect.
Dispute Resolution
Any disputes arising from these terms will be resolved as follows:
- Good-faith negotiation: The parties will first attempt to resolve the dispute through direct discussion for a period of 30 days.
- Arbitration: If negotiation fails, disputes will be resolved through binding arbitration in Toronto, Ontario, in accordance with the arbitration rules of the ADR Institute of Canada.
- Small Claims Court: Either party may bring individual claims in the Small Claims Court of Ontario if the claim falls within its jurisdiction, without first proceeding through arbitration.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
Survival
The following sections survive termination or expiration of these terms: Intellectual Property, Limitation of Liability, Indemnification, Acceptable Use, Dispute Resolution, and Data and Privacy.
Entire Agreement
These terms, together with the Privacy Policy at rundesk.co/privacy and any plan details described on our pricing page, constitute the entire agreement between you and A. I. Tech Inc. regarding the RunDesk service.
